Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the building lifecycle cost monitoring platform and related services provided by Astrotrixa Ltd ("Astrotrixa", "we", "us", or "our"). By accessing or using our platform, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use our services. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of our services after any modifications constitutes acceptance of the modified Terms.

Description of Services

Astrotrixa provides a comprehensive building lifecycle cost monitoring platform designed for construction professionals, project managers, and related stakeholders. Our services include:

• Real-time construction cost tracking and analytics
• Lifecycle cost forecasting and predictive modelling
• Integrated data management and reporting tools
• Collaborative project management features
• Custom integrations and enterprise solutions

User Accounts and Registration

To access certain features of our platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Update your information promptly when changes occur
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities under your account

User Obligations

When using our platform, you agree to comply with all applicable laws and regulations. You must not:

• Use the platform for any unlawful or fraudulent purposes
• Attempt to gain unauthorised access to our systems or other users' accounts
• Upload or transmit malicious code, viruses, or harmful content
• Interfere with or disrupt the platform's operation or security
• Copy, modify, or distribute our software or content without permission
• Use automated systems to access the platform without authorisation
• Reverse engineer or attempt to extract source code from our platform

Data and Content Ownership

You retain ownership of the construction data, project information, and other content you upload to our platform ("User Content"). By using our services, you grant Astrotrixa a licence to process, store, and analyse your User Content solely for the purpose of providing our services.

You represent and warrant that:

• You have the right to upload and use all User Content
• Your User Content does not infringe third-party rights
• Your User Content complies with applicable laws and regulations

Intellectual Property

The Astrotrixa platform, including all software, algorithms, designs, text, graphics, and other content, is owned by Astrotrixa and protected by intellectual property laws. Our platform contains proprietary and confidential information that is protected by applicable intellectual property and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use our platform for your legitimate business purposes. This licence does not include the right to:

• Resell or redistribute our services
• Create derivative works based on our platform
• Remove or alter any proprietary notices
• Use our trademarks or branding without permission

Payment Terms

If you subscribe to paid services, you agree to pay all applicable fees as described in your service agreement. Payment terms include:

• Fees are payable in advance for the applicable service period
• All payments are non-refundable except as required by law
• We may suspend services for non-payment after appropriate notice
• You are responsible for all taxes related to your use of our services

Service Availability

We strive to maintain high availability of our platform but cannot guarantee uninterrupted service. We may temporarily suspend or restrict access for maintenance, updates, or to address security issues. We are not liable for any downtime or service interruptions.

Limitation of Liability

To the maximum extent permitted by law, Astrotrixa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to us in the twelve months preceding the claim. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless Astrotrixa, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our platform
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you consent to such processing and warrant that all data you provide is accurate.

Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the Irish courts.

If you are a consumer residing in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Termination

Either party may terminate these Terms at any time with appropriate notice. We may immediately terminate or suspend your access if you violate these Terms or engage in conduct that we reasonably believe is harmful to our platform or other users.

Upon termination:

• Your right to access our platform will cease immediately
• We may delete your account and User Content after a reasonable period
• You remain liable for any outstanding fees or obligations
• Provisions that by their nature should survive termination will remain in effect

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Astrotrixa regarding your use of our services. These Terms supersede all prior or contemporaneous communications and proposals.
